Professional experience
Charles Vincent is an Associate in Fish & Richardson's Delaware office. His practice emphasizes business and corporate litigation, primarily in the Delaware Court of Chancery. Prior to joining Fish & Richardson, Mr. Vincent was a judicial law clerk to the Honorable Henry duPont Ridgely, Justice of the Delaware Supreme Court. He also served as a Wolcott Fellow extern for Vice Chancellor Donald F. Parsons, Jr. of the Delaware Court of Chancery and spent one summer externing for the Delaware Department of Justice. Prior to law school, Charles worked in higher education administration and also owned and operated a sports photography company.

Rusciano v. UBS AG, et al., Del. Ch., No. 4454-VCP. Representing UBS AG and UBS Securities LLC in an advancement action.
In re Arrow Investment Advisors, LLC, Del. Ch., No. 4091-VCS. Represented a company in defense of a petition filed by one of the company’s members to dissolve the company under Section 18-802 of Delaware’s LLC Act. Petition dismissed with prejudice.
Island Capital Partners, LLC, et al. v. Ransome Development Co., LLC, Del. Ch., No. 4108-VCL. Obtained dismissal for a general partner in an action seeking to remove that general partner from its role as the managing general partner of the underlying partnership.
Ransome Development Co., LLC v. Ransome Group Investors I, LLP, Del. Ch., No. 4122-VCL. Represented a general partner in its claims for advancement under a partnership agreement.
Dawson, et al. v. Pittco Capital Partners, L.P., et al., Del. Ch., No. 3148-VCL. Represented defendants in connection with an action challenging a merger of an LLC and an amendment to a provision in the LLC Agreement.
COMMERCIAL LITIGATION
Cignal Mortgage Corp., et al. v. Gary Nader Corp., Del. Ch., No. 4322-VCS. Obtained dismissal of a lawsuit alleging breaches of various agreements concerning a commercial aircraft and an LLC.
Piedmont Energy Co. v. Georgia Natural Gas Co., Del. Ch., No. 4424-VCS. Counsel to Piedmont Energy Company, a subsidiary of Piedmont Natural Gas Company, in a lawsuit seeking declaratory judgment as to Piedmont’s rights pursuant to a buy-out option under a joint venture agreement.
Doden v. Harris Steel, Inc., Del. Ch., C.A. No. 4319-VCL. Counsel to Harris Steel, a subsidiary of NuCor Corp., in a lawsuit arising out of a stock purchase agreement and post-closing adjustments related to Harris Steel’s acquisition of plaintiff’s steel fabrication and distribution business for approximately $185 million.
Callaway Golf Co. v. Acushnet Co., Del. Ch., No. 4165-VCS. Representing Callaway Golf Company in a lawsuit seeking contract reformation and alleging breach of contract and breach of the implied covenant of good faith and fair dealing.
